Terms & Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the websites, software platforms, SaaS products, applications, custom software services, consulting services, artificial intelligence-enabled solutions and other technology services provided by Terracode (Pvt) Ltd (“Terracode”, “we”, “us” or “our”).

By accessing our website, creating an account, purchasing a subscription, engaging Terracode for a project, or otherwise using any of our services (“Services”), you agree to these Terms.

If you enter into a separate written agreement, proposal, Statement of Work, service agreement or other contract with Terracode, that agreement will apply in addition to these Terms. Where there is a direct conflict, the specific written agreement will take precedence for the relevant Service.

3. Eligibility

You must have legal capacity to enter into a binding agreement to use our Services.

Where you use our Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.

4. Accounts

Certain Services require creation of an account.

You agree to:

provide accurate and current information;

maintain the confidentiality of your login credentials;

promptly notify us of suspected unauthorised access; and

accept responsibility for activity performed through your account where such activity results from your failure to adequately protect your credentials.

Terracode may require identity, business or account verification where reasonably necessary for security, compliance, fraud prevention or service administration.

5. Services

The exact functionality, specifications and limitations of a Service may be described on the relevant website, subscription page, quotation, proposal, order form, Statement of Work or service agreement.

Features may differ between plans, products and customers.

Terracode may improve, modify, update or replace features from time to time where reasonably necessary for security, technical, operational or commercial reasons.

We will not materially reduce a paid Service during an active subscription period without reasonable justification or notice where practicable.

6. Custom Software and Professional Services

Custom software development, consulting, implementation and integration services may be governed by a separate quotation, proposal, agreement or Statement of Work.

Such documents may specify:

project scope;

deliverables;

milestones;

customer responsibilities;

payment schedules;

estimated timelines;

intellectual property arrangements;

support arrangements;

acceptance criteria; and

additional terms specific to the project.

Project timelines may depend on timely feedback, approvals, access, documentation, credentials, data and other materials supplied by the customer.

Delays caused by the customer or by third parties outside Terracode’s reasonable control may result in corresponding changes to project timelines.

7. Prices and Payments

Prices will be displayed on the applicable website, quotation, invoice, proposal, subscription page or order form.

Unless stated otherwise, applicable taxes, government charges or transaction charges may be added where required by law or clearly disclosed before payment.

Payments may be processed through third-party payment processors.

Terracode does not normally receive or store customers’ complete payment card details when payment information is entered directly into a third-party payment processor.

By submitting a payment, you authorise Terracode and its payment service providers to process the transaction for the amount shown at checkout or stated in the applicable invoice or agreement.

8. Subscription Services

Certain Terracode Services are offered on a recurring subscription basis.

Before purchasing a subscription, customers will be shown the relevant:

subscription price;

billing period;

included features;

applicable taxes or fees;

renewal terms; and

cancellation options.

Unless expressly stated otherwise, subscriptions automatically renew at the end of each billing period using the payment method authorised by the customer.

Customers may cancel future renewal in accordance with Section 9.

9. Subscription Cancellation

A subscription may be cancelled at any time before the next scheduled renewal date.

Cancellation prevents future recurring charges.

Unless otherwise stated for a particular product, the Service will remain available until the end of the billing period already paid for.

Cancellation does not automatically create entitlement to a refund for the current billing period.

Refund requests are handled under our Refund and Cancellation Policy.

Where an account provides a self-service cancellation function, customers may cancel through that function. Customers may also contact us at:

10. Failed Payments

If a recurring payment cannot be processed, Terracode may:

notify the customer;

retry the payment;

temporarily restrict paid features; or

suspend or terminate the subscription after reasonable attempts to resolve the outstanding payment.

Customers remain responsible for charges properly incurred before cancellation or termination.

11. Refunds

Refund eligibility, refund procedures, duplicate payments, subscription refunds and refunds for professional services are governed by our separate Refund and Cancellation Policy.

Nothing in these Terms limits any statutory rights that cannot lawfully be excluded.

12. Acceptable Use

You must not use Terracode Services to:

violate applicable law;

conduct fraudulent activities;

distribute malware or malicious code;

gain unauthorised access to systems, networks or accounts;

interfere with the security or operation of our Services;

infringe intellectual property or privacy rights;

process unlawful content;

conduct abusive automated activity that materially affects our infrastructure;

bypass technical restrictions or security measures; or

use our Services for purposes expressly prohibited by an applicable service agreement.

Terracode may investigate suspected misuse and take reasonable protective action.

13. Customer Data

Customers retain ownership of data they lawfully submit to Terracode Services unless otherwise agreed in writing.

Customers are responsible for ensuring that they have the necessary rights, permissions and lawful basis to provide data to Terracode.

Terracode may process customer data to:

provide the Service;

maintain security;

perform backups;

provide customer support;

troubleshoot technical issues;

comply with applicable law; and

perform other processing authorised by the customer.

Personal data is handled according to our Privacy Policy.

14. Artificial Intelligence Features

Certain Terracode Services may include artificial intelligence, machine learning or automated features.

AI-generated outputs may occasionally be incomplete, inaccurate or unsuitable for a particular purpose.

Customers should independently review important AI-generated outputs before relying upon them for financial, legal, medical, safety-critical or similarly significant decisions.

Where third-party AI providers are used, relevant information may be transmitted to those providers only as necessary to provide the applicable feature and subject to applicable contractual and privacy safeguards.

15. Third-Party Services

Terracode Services may integrate with services provided by third parties including payment processors, cloud providers, communication services, accounting systems, social platforms, APIs and other software providers.

Third-party services remain subject to their respective terms, privacy practices, availability and technical limitations.

Terracode is not responsible for failures caused solely by a third-party provider outside Terracode’s reasonable control.

16. Intellectual Property

Terracode and its licensors retain ownership of Terracode’s:

SaaS platforms;

reusable software components;

frameworks;

libraries;

source code;

APIs;

system architecture;

documentation;

designs;

trademarks;

proprietary methods; and

other pre-existing intellectual property.

For custom development projects, ownership and licensing of project-specific deliverables will be determined by the relevant proposal, Statement of Work or agreement.

Where no specific written agreement exists, Terracode retains ownership of its underlying technology and grants the customer the rights reasonably necessary to use the purchased deliverable for its intended purpose.

17. Confidentiality

Where either party receives confidential business, commercial, technical or operational information belonging to the other party, the receiving party shall take reasonable steps to protect such information and shall not disclose it except:

for providing the Services;

to personnel or contractors who require access and are subject to confidentiality obligations;

with the owner’s permission; or

where disclosure is required by law.

18. Service Availability

Terracode aims to maintain reliable Services but cannot guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of:

maintenance;

software updates;

infrastructure failures;

internet or telecommunications problems;

third-party provider outages;

security incidents;

force majeure events; or

circumstances outside our reasonable control.

Where practicable, Terracode will take reasonable steps to restore affected Services.

19. Suspension and Termination

Terracode may suspend or terminate access where:

these Terms are materially breached;

payment remains outstanding;

Services are used unlawfully;

continued access presents a security risk;

required by law or regulatory authority; or

continued provision of the Service is no longer reasonably possible.

Where appropriate, we will provide notice and an opportunity to remedy the issue before termination.

20. Disclaimer

Terracode will provide Services with reasonable professional and technical care.

Except where otherwise required by law or expressly agreed in writing, Services are provided without guarantees that:

every Service will operate without interruption;

every software defect will be eliminated;

every third-party integration will remain available indefinitely; or

a particular commercial outcome will result from using the Service.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Terracode shall not be liable for indirect, incidental, special or consequential losses arising from use of the Services.

Unless otherwise agreed in writing, Terracode’s aggregate liability relating to a paid Service shall not exceed the amount paid by the customer to Terracode for the relevant Service during the twelve months immediately preceding the event giving rise to the claim.

This limitation does not apply where liability cannot lawfully be limited or excluded.

22. Indemnification

To the extent permitted by law, customers agree to indemnify Terracode against third-party claims resulting directly from:

unlawful use of the Services;

content or data supplied by the customer that infringes third-party rights;

fraudulent activity; or

material violation of these Terms.

23. Complaints and Dispute Resolution

Customers should first contact Terracode so that we can attempt to resolve complaints directly.

We will review complaints in good faith and seek to provide a response within a reasonable period.

If a dispute cannot be resolved between the parties, and no separate agreement provides another dispute mechanism, the dispute shall be subject to the applicable laws and courts of Sri Lanka.

Nothing in this section prevents a consumer from using any dispute-resolution or consumer-protection mechanism available under applicable law.

24. Governing Law

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka.

25. Changes to These Terms

Terracode may update these Terms where necessary to reflect changes in:

law;

technology;

business operations;

security requirements; or

Services.

Material changes will be communicated where reasonably appropriate.

The updated effective date will be displayed at the beginning of these Terms.
